Welcome to Sync, a neurorehabilitation platform developed by Coglix Labs. By accessing or using our services, you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By accessing and using Sync ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Sync is a neuroscience-based rehabilitation platform that provides:

  • Brain-computer interface (BCI) enabled therapeutic games
  • EEG signal processing and analysis
  • Motion tracking rehabilitation exercises
  • Speech therapy and language rehabilitation
  • Progress tracking and reporting tools

3. Medical Disclaimer

3.1 Not a Medical Device

Sync is designed as a supplementary rehabilitation tool and is NOT a medical device. It should not be used as a substitute for professional medical advice, diagnosis, or treatment.

3.2 Consult Healthcare Providers

Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or rehabilitation program.

4. HIPAA and Health Data

The Service processes Protected Health Information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA). By using the Service, you acknowledge that:

  • Health-related data including speech recordings, motion tracking, heart rate, and exercise metrics will be collected and processed for rehabilitation purposes.
  • Your data is encrypted at rest and in transit using industry-standard encryption.
  • Access to your data is restricted to you and your assigned healthcare provider(s).
  • You have the right to request access, correction, and deletion of your health data as described in our Privacy Policy.
  • Healthcare organizations using Sync must have a Business Associate Agreement (BAA) in place with Coglix Labs.

4b. GDPR and International Data Protection

If you access the Sync Platform from the European Economic Area (EEA), United Kingdom, or Switzerland, the General Data Protection Regulation (GDPR) or equivalent legislation applies. By using the Service, you acknowledge that:

  • We process your health data on the lawful basis of explicit consent (GDPR Art. 9(2)(a)) and contractual necessity (Art. 6(1)(b)).
  • You may withdraw consent at any time by emailing privacy@coglixlabs.com.
  • You have the right to access, rectify, erase, restrict, and port your data, and to lodge a complaint with your local supervisory authority.
  • Data Processing Agreements (DPAs) are in place with all third-party processors that handle your personal data.
  • In the event of a personal data breach, we will notify the relevant supervisory authority within 72 hours as required by GDPR Art. 33.

4c. ISO 27001 Information Security

The Sync Platform is designed and operated in alignment with ISO/IEC 27001:2022, the international standard for information security management. This includes documented access control policies, cryptographic controls, incident management procedures, and business continuity planning with a Recovery Point Objective (RPO) of 24 hours and Recovery Time Objective (RTO) of 4 hours. 5. User Responsibilities

Users are responsible for:

  • Providing accurate information during registration.
  • Maintaining the confidentiality of account credentials.
  • Using the Service in compliance with all applicable laws.
  • Ensuring proper supervision when used by minors or patients.
  • Logging out or closing the browser after each session on shared devices.

6. Data Collection and Privacy

Our collection and use of personal and health information is governed by our Privacy Policy. By using the Service, you consent to such processing and warrant that all data provided is accurate. You may withdraw consent at any time by contacting privacy@coglixlabs.com.

7. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, and software, are the exclusive property of Coglix Labs and are protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law, Coglix Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

9. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms of Service on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated terms. Material changes to HIPAA-related terms will require re-consent.

10. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not: (a) reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service; (b) attempt to gain unauthorized access to any systems, networks, or data associated with the Service; (c) use the Service to transmit any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable; (d) use the Service in any manner that could disable, overburden, or impair its proper functioning; or (e) use automated tools, bots, or scripts to access or interact with the Service without prior written consent from Coglix Labs.

11. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COGLIX LABS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COGLIX LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

12. Indemnification

You agree to indemnify, defend, and hold harmless Coglix Labs and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Service; (c) your violation of any third-party rights, including intellectual property rights or privacy rights; or (d) any content you submit, post, or transmit through the Service. This indemnification obligation survives termination of these Terms.

13. Termination

Either party may terminate access to the Service at any time, with or without cause. Coglix Labs reserves the right to suspend or terminate your account immediately if you violate these Terms, without prior notice or liability. Upon termination: (a) your right to access and use the Service ceases immediately; (b) Coglix Labs will retain and handle your health data in accordance with applicable law, including HIPAA retention requirements; (c) you may request export or deletion of your personal data by contacting privacy@coglixlabs.com within 30 days of termination. Provisions of these Terms that by their nature should survive termination—including warranty disclaimers, indemnification, and limitation of liability—shall survive.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
